# Terms and Conditions

## Roost Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the Roost website, interface and related services available at [roostlaunch.com](https://www.roostlaunch.com/) (together, the "Interface"), operated by Roost ("Roost", "we", "us"). By accessing or using the Interface, you agree to be bound by these Terms. If you do not agree, do not use the Interface.

### 1. What Roost is (and is not)

Roost is a software interface for launching and trading tokens on Robinhood Chain. Markets settle on Uniswap V4 smart contracts, extended with Roost hook contracts, that operate autonomously onchain.

Roost is not a bank, broker, dealer, exchange, custodian, money transmitter or investment adviser. Roost never holds user funds, never has access to private keys, and cannot execute, reverse or cancel transactions on a user's behalf. Every transaction is signed and authorized by the user in their own wallet.

Roost is not affiliated with, endorsed by, or sponsored by Robinhood Markets, Inc. or its affiliates. Robinhood Stock Tokens are issued by their own issuer and governed by that issuer's terms.

### 2. Eligibility

You may use the Interface only if you are at least 18 years old (or the age of majority where you live), have full legal capacity to accept these Terms, and are not prohibited from using the Interface under applicable law. You may not use the Interface if you are located in, organized in, or a resident of any jurisdiction where use of the Interface is unlawful, or if you are subject to sanctions administered by any relevant authority. You are responsible for compliance with the laws that apply to you.

### 3. Self-custody and user responsibility

You are solely responsible for your wallet, private keys and credentials. Roost cannot recover lost keys or reverse transactions. Blockchain transactions are final and irreversible once confirmed. Before signing any transaction, verify the contract address, the amounts, the payment token, the applicable tax rate and the network.

### 4. User-created tokens

Anyone can launch a token through the Interface. Roost does not review, endorse, verify or guarantee any user-created token, its creator, its content or its market. Token names, tickers and images can be copied or misleading. Nothing displayed on the Interface is a recommendation to buy, sell or hold any token.

### 5. Fees and taxes on trades

Each Roost market applies a trading tax of between 1% and 10% of each trade. The rate is configured by the token's creator, is collected by the market's Uniswap V4 hook contract, and is shown in the Interface before wallet confirmation. Collected taxes are distributed according to the token's fee mode: in creator mode, to wallets designated by the creator, who may update the rate and allocation within the permitted range; in vault mode, to the token's vault, from which fees are used for buyback and burn of the token or for payment token distributions to holders, as described in the Roost documentation. Fee parameters are implemented in smart contracts and may change as described above; always check the current rate on the token page before trading. Network (gas) fees are separate and are paid by the user to the network.

### 6. Roost Points

Roost Points track product activity such as trading, holding, sharing and daily check-ins. Points are not a token, not equity, not money, and not a promise of any future value, airdrop or reward. Roost may adjust, suspend or terminate the points program at any time, including correcting balances affected by abuse, bots or exploits.

### 7. Prohibited use

You agree not to use the Interface to: violate any law or regulation; engage in market manipulation, including wash trading, spoofing or pump-and-dump schemes; launch tokens that infringe third-party intellectual property or impersonate any person or brand; distribute malware or interfere with the Interface's operation; use bots or automation to abuse the points program; or circumvent geographic or sanctions restrictions, including through VPNs.

### 8. Intellectual property

The Interface, including its design, text, graphics and logos, is owned by \[ENTITY NAME] or its licensors. You may not copy, modify or distribute it except as permitted by these Terms. Content you submit (such as token icons, descriptions and profile information) remains yours; you grant Roost a worldwide, non-exclusive, royalty-free license to host and display it in connection with the Interface, and you represent that you have the rights to submit it.

### 9. Risk disclosure

Using the Interface involves significant risk, including: total loss of value of user-created tokens; low or no liquidity; trading taxes of up to 10% per trade, which in creator mode can be changed by the token's creator; smart contract, hook, vault, oracle, wallet, RPC and interface failures; divergence between a Stock Token pool price and the Stock Token's external reference price; and issuer, market-hours, corporate-action and jurisdiction risks specific to Stock Tokens. You acknowledge these risks and accept that you use the Interface at your own risk.

### 10. No investment advice

Nothing on the Interface or in the Roost documentation constitutes investment, legal, tax or accounting advice. Prices, charts, market data and points are provided for information only. You are solely responsible for your decisions and for any taxes arising from your activity.

### 11. Third-party services

The Interface interacts with third-party software and services, including wallets, Robinhood Chain infrastructure, Uniswap V4 contracts, Stock Token issuers, price oracles and analytics providers. Roost does not control and is not responsible for third-party services, and their terms govern your use of them.

### 12. Disclaimers

The Interface is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability. Roost does not warrant that the Interface will be error-free or secure, or that data displayed (including prices and reference values) is accurate or complete.

### 13. Limitation of liability

To the maximum extent permitted by law, \[ENTITY NAME] and its affiliates, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, tokens, data or goodwill, arising out of or related to your use of the Interface. To the maximum extent permitted by law, our aggregate liability for all claims relating to the Interface will not exceed the greater of USD 100 and the fees you paid to Roost in the twelve months preceding the claim.

### 14. Indemnification

You agree to indemnify and hold harmless \[ENTITY NAME] and its affiliates from any claims, damages and expenses (including reasonable legal fees) arising from your use of the Interface, your tokens or content, or your breach of these Terms or applicable law.

### 15. Suspension and termination

Roost may restrict, suspend or terminate access to the Interface at any time, including where required by law or to protect users or the protocol. Because the underlying contracts are onchain, restriction of the Interface does not affect your ability to interact with public smart contracts directly.

### 16. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted with a new "Last updated" date, and material changes may be announced through the Interface or official channels. Continued use after changes take effect constitutes acceptance.

### 17. Governing law and disputes

These Terms are governed by the laws of \[JURISDICTION], without regard to conflict-of-law rules. Any dispute arising out of these Terms or the Interface will be resolved by \[DISPUTE RESOLUTION MECHANISM, e.g. binding arbitration seated in \[JURISDICTION]], except where applicable law provides otherwise. To the extent permitted by law, disputes must be brought individually and not as part of a class action.
